Terms of Service

By accessing or using the Aingweuy platform (hereinafter referred to as "Aingweuy," "the Platform," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). These Terms govern your access to and use of the Platform, including any content, functionality, and services offered on or through Aingweuy, whether as a guest or a registered user.

Please read these Terms carefully before you start to use the Platform. If you do not agree to these Terms, you must not access or use the Aingweuy Platform.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you and Aingweuy. By creating an account, making a purchase, uploading content, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference.

We reserve the right to update, change, or replace any part of these Terms by posting updates and/or changes to our website. It is your responsibility to check this page periodically for changes. Your continued use of or access to the Platform following the posting of any changes constitutes acceptance of those changes.

2. Definitions

  • Platform: Refers to the Aingweuy website, applications, and any other services provided by Aingweuy.
  • User/You: Refers to any individual or entity accessing or using the Platform, including Buyers and Sellers.
  • Buyer: A User who purchases Digital Assets through the Platform.
  • Seller: A User who offers and sells Digital Assets through the Platform.
  • Digital Asset(s): Refers to digital products, such as UI Kits, Templates, fonts, graphics, and other similar digital goods, uploaded and sold by Sellers on Aingweuy.
  • Content: Refers to any text, images, audio, video, or other material uploaded, posted, linked to, or otherwise made available on the Platform by Users or Aingweuy.

3. User Accounts

3.1 Eligibility To access certain features of the Platform, you must register for an account. By registering, you confirm that you are at least 18 years old or have reached the age of majority in your jurisdiction, and that you are legally capable of entering into binding contracts.

3.2 Account Registration You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. We reserve the right to suspend or terminate your account if any information provided is inaccurate, untrue, incomplete, or violates these Terms.

3.3 Account Security You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify Aingweuy immediately of any unauthorized use of your account or any other breach of security. Aingweuy cannot and will not be liable for any loss or damage arising from your failure to comply with this section.

3.4 Account Suspension and Termination Aingweuy reserves the right to suspend or terminate your account and your access to the Platform at our sole discretion, without notice or liability, for any reason, including but not limited to:

  • Breaching these Terms.
  • Engaging in fraudulent, illegal, or abusive activities.
  • Violating any applicable laws or regulations.
  • Causing harm to the Platform or other Users.

4. Digital Assets and Content

4.1 Nature of Digital Assets Aingweuy is a marketplace that facilitates the sale of Digital Assets by Sellers to Buyers. Aingweuy does not own, create, sell, resell, provide, control, manage, offer, deliver, or supply any Digital Assets directly. Sellers, not Aingweuy, are solely responsible for their Digital Assets and any listings.

4.2 Seller Responsibilities Sellers are responsible for ensuring that:

  • They own all necessary rights, licenses, and permissions to sell the Digital Assets they upload.
  • The Digital Assets do not infringe upon any third-party intellectual property rights, privacy rights, or other rights.
  • The Digital Assets are accurately described and function as advertised.
  • They comply with all applicable laws and regulations.

4.3 Prohibited Content You agree not to upload, post, or transmit any Content that:

  • Is illegal, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable.
  • Infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party.
  • Contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware.
  • Is false, misleading, or deceptive.

5. Purchases and Payments

5.1 Pricing Prices for Digital Assets are set by the Sellers and are displayed on the Platform. Aingweuy may charge a commission on sales, which will be deducted from the Seller's payout. All prices are subject to change without notice.

5.2 Payment Processing All payments for Digital Assets purchased on Aingweuy are processed securely through Midtrans. By initiating a purchase, you agree to Midtrans' terms and conditions and privacy policy. Aingweuy is not responsible for any issues arising from the payment processing service, though we will assist in resolving payment disputes where possible.

5.3 Payment Methods Midtrans supports various payment methods, including but not limited to bank transfers, credit/debit cards, and e-wallets, as available in your region.

5.4 Order Confirmation Upon successful payment, you will receive an order confirmation via email, which will include details on how to access and download your purchased Digital Asset.

5.5 Refunds and Cancellations Due to the nature of digital goods, all sales are generally final. However, Aingweuy aims to ensure Buyer satisfaction. Refunds may be considered in the following limited circumstances:

  • The Digital Asset is entirely non-functional or corrupted and the Seller is unable to provide a working version.
  • The Digital Asset is significantly misrepresented by the Seller.
  • A duplicate purchase occurred.

Refund requests must be submitted within a reasonable timeframe (e.g., 7 days) of purchase and will be reviewed on a case-by-case basis. Aingweuy will mediate disputes between Buyers and Sellers regarding refunds, but the final decision rests with Aingweuy based on its assessment.

5.6 Taxes You are responsible for paying any applicable taxes associated with your purchases on the Platform. Aingweuy is not responsible for calculating, collecting, reporting, or remitting any taxes on behalf of Users.

6. Digital Asset Licensing

When you purchase a Digital Asset on Aingweuy, you are purchasing a license to use that asset, not ownership of the asset itself. The specific terms of use are defined by the license type selected at the time of purchase. Sellers specify the license applicable to their Digital Assets. By purchasing, you agree to abide by the terms of the chosen license.

Aingweuy offers the following standard license types:

6.1 Personal License

  • Allowed: Use of the Digital Asset for personal, non-commercial projects. This includes projects where you are not paid and there is no direct or indirect commercial benefit.
  • Prohibited: Use in any commercial project (paid work, client projects, business websites, marketing materials, etc.). Redistribution, resale, sublicensing, or sharing of the Digital Asset, in whole or in part, is strictly forbidden.

6.2 Commercial License

  • Allowed: Use of the Digital Asset in commercial projects for yourself or clients. This includes websites, apps, marketing materials, advertisements, merchandise (e.g., t-shirts, mugs) where the Digital Asset is an integrated part of a larger design and not the primary value.
  • Prohibited: Resale, sublicensing, or free distribution of the Digital Asset itself, or as a standalone component. You cannot use the asset in products where the primary value is the asset itself (e.g., selling a UI kit as a UI kit). You cannot use the asset for print-on-demand services unless significantly altered or integrated into a unique design.

6.3 Extended License

  • Allowed: All uses permitted under the Commercial License, plus broader commercial applications, such as:
    • Unlimited reproductions/impressions.
    • Use in items for resale where the Digital Asset is a primary component (e.g., themes, templates, software, or physical products where the asset contributes significantly to the product's value).
    • Use in broadcast, film, or large-scale digital distribution.
    • Potentially allows sublicensing to end-users as part of a larger project, provided the end-user cannot extract or reuse the Digital Asset independently.
  • Prohibited: Resale or free distribution of the Digital Asset itself as a standalone product. Any use that suggests you are the original creator of the Digital Asset.

Important Notes on Licensing:

  • The exact terms and limitations for each license type may vary slightly per Seller and per Digital Asset. Always refer to the specific license details provided by the Seller on the Digital Asset's product page.
  • It is your responsibility to understand and comply with the chosen license. Violation of license terms may result in legal action by the Seller.
  • Licenses are non-transferable.

7. Intellectual Property Rights

7.1 Aingweuy's Intellectual Property The Platform, its original content, features, and functionality (excluding Digital Assets uploaded by Sellers) are owned by Aingweuy and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You may not copy, modify, distribute, sell, or lease any part of our services or included software, nor may you reverse engineer or attempt to extract the source code of that software, unless laws prohibit those restrictions or you have our written permission.

7.2 Seller's Intellectual Property Sellers retain all intellectual property rights in and to the Digital Assets they upload and sell on Aingweuy. By uploading Digital Assets, Sellers grant Aingweuy a non-exclusive, worldwide, royalty-free license to host, display, reproduce, and distribute the Digital Assets on the Platform for the purpose of promoting and selling them.

7.3 Copyright Infringement (DMCA Policy) Aingweuy respects the intellectual property rights of others. If you believe that your copyright or the copyright of a person you are authorized to act on behalf of has been infringed by a Digital Asset or Content on the Platform, please notify us immediately with the following information:

  • A description of the copyrighted work that you claim has been infringed.
  • The URL or exact location on the Platform where the infringing material is located.
  • Your contact information (name, address, telephone number, and email address).
  • A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
  • A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.
  • An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest.

Upon receipt of a valid notice, we will remove or disable access to the infringing material and take appropriate action against the Seller, which may include termination of their account.

8. Disclaimer of Warranties

THE AINGWEUY PLATFORM AND ALL DIGITAL ASSETS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

AINGWEUY DOES NOT WARRANT THAT:

  • THE PLATFORM WILL FUNCTION UNINTERRUPTED, SECURELY, OR BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION.
  • ANY ERRORS OR DEFECTS WILL BE CORRECTED.
  • THE PLATFORM IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
  • THE RESULTS OF USING THE PLATFORM OR DIGITAL ASSETS WILL MEET YOUR REQUIREMENTS.

AINGWEUY IS NOT RESPONSIBLE FOR THE QUALITY, LEGALITY, OR ACCURACY OF DIGITAL ASSETS UPLOADED BY SELLERS. YOU AGREE THAT YOUR USE OF THE PLATFORM AND ANY DIGITAL ASSETS IS AT YOUR SOLE RISK.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AINGWEUY, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE PLATFORM OR ANY DIGITAL ASSETS.

IN NO EVENT SHALL AINGWEUY'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT, OR OTHERWISE) EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE PLATFORM OR PURCHASING DIGITAL ASSETS IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

10. Indemnification

You agree to defend, indemnify, and hold harmless Aingweuy, its affiliates, licensors, and service providers, and its respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms or your use of the Platform.
  • Your Content or Digital Assets you upload.
  • Your infringement of any intellectual property or other right of any person or entity.
  • Your violation of any applicable law or regulation.

11. Dispute Resolution

11.1 Between Buyers and Sellers Aingweuy may offer a dispute resolution mechanism to help Buyers and Sellers resolve issues related to Digital Assets (e.g., refund requests, asset functionality). While Aingweuy will endeavor to facilitate fair resolutions, we act solely as a mediator and our decision is final and binding on both parties.

11.2 Between Users and Aingweuy Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or the use of the Platform, shall be resolved through good faith negotiations. If a resolution cannot be reached, the dispute shall be submitted to binding arbitration in accordance with the laws of the Republic of Indonesia.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Indonesia, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Indonesia to resolve any legal matter arising from these Terms or the Platform.

13. Modifications to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Platform after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Platform.

14. Termination

Aingweuy may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Platform will immediately cease. If you wish to terminate your account, you may simply discontinue using the Platform. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

15. Miscellaneous

15.1 Entire Agreement These Terms, along with the Privacy Policy, constitute the entire agreement between you and Aingweuy regarding the use of the Platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Platform.

15.2 Severability If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

15.3 Waiver No waiver of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Aingweuy to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
