Terms of Service

1. Introduction and Acceptance of Terms

Welcome to Aingweuy! These Terms of Service ("Terms") govern your access to and use of the Aingweuy website, platform, and all related services (collectively, the "Platform") provided by Aingweuy. By accessing, browsing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any other policies or guidelines posted on the Platform. If you do not agree to these Terms, you may not access or use the Platform.

These Terms constitute a legally binding agreement between you and Aingweuy. We may update these Terms from time to time, and your continued use of the Platform after any such changes signifies your acceptance of the revised Terms.

2. Definitions

  • Aingweuy: Refers to the digital marketplace, its owner(s), operators, employees, affiliates, and representatives (also referred to as "we," "us," or "our").
  • User / You: Refers to any individual or entity accessing or using the Platform, including purchasers of Digital Assets (also referred to as "your").
  • Digital Asset(s) / Product(s): Refers to all digital goods, including but not limited to UI Kits, templates, graphics, fonts, code snippets, themes, and other downloadable content available for purchase on the Platform.
  • Seller: Refers to the party offering Digital Assets for sale on the Platform, which may include Aingweuy itself or approved third-party vendors.
  • Account: Refers to the personal account created by a User to access certain features of the Platform, including purchasing and managing Digital Assets.
  • Content: Refers to all text, images, videos, audio, or other multimedia content, software, or information that is submitted to, uploaded to, or appears on the Platform.

3. Eligibility and User Accounts

3.1. Eligibility: You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Platform and create an Account. By using the Platform, you represent and warrant that you meet these eligibility requirements.

3.2. Account Creation: To purchase Digital Assets, you may be required to create an Account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.3. Account Security: You are solely responsible for maintaining the confidentiality of your Account credentials (username and password) and for all activities that occur under your Account. You agree to notify Aingweuy immediately of any unauthorized use of your Account or any other breach of security. Aingweuy will not be liable for any loss or damage arising from your failure to comply with this section.

3.4. Suspension/Termination: Aingweuy reserves the right to suspend or terminate your Account and access to the Platform at its sole discretion, without prior notice, for any reason, including but not limited to breach of these Terms, fraudulent activity, or conduct harmful to other Users or Aingweuy.

4. Digital Assets and Licensing

4.1. Nature of Products: All products offered on Aingweuy are Digital Assets. No physical items will be shipped. Upon successful payment, Digital Assets are typically made available for immediate download through your Account or via a provided link.

4.2. Licensing: When you purchase a Digital Asset on Aingweuy, you are purchasing a license to use that Digital Asset, not ownership of the Digital Asset itself. All Digital Assets are protected by copyright and other intellectual property laws. The specific rights granted to you depend on the license type chosen at the time of purchase. It is your responsibility to understand the terms of the license you purchase. The primary license types offered are:

  • Personal License:
    • Permitted Use: For personal, non-commercial projects. You may use the Digital Asset in projects where you are the sole beneficiary and there is no direct or indirect commercial gain. This includes personal websites, portfolios, learning projects, and hobby projects.
    • Restrictions: May not be used for any commercial purpose (selling, advertising, generating revenue, etc.). Cannot be redistributed, resold, sub-licensed, or shared with others. Cannot be used in projects for clients or employers.
  • Commercial License:
    • Permitted Use: For commercial projects, including client work, company websites, marketing materials, products for sale (where the Digital Asset is part of a larger, distinct product), and applications.
    • Restrictions: The Digital Asset itself cannot be resold, redistributed, or sub-licensed as a standalone product or as a primary component of a product where its value lies solely in the Digital Asset itself. For example, you cannot sell a template as a template to others. The Digital Asset must be incorporated into a new, original work. Unlimited reproductions or copies are generally not permitted unless explicitly stated.
  • Extended License:
    • Permitted Use: Provides broader commercial usage rights beyond the standard Commercial License. This often includes rights for unlimited reproductions, use in products for resale where the Digital Asset is a core component (e.g., selling T-shirts with the design), use in software-as-a-service (SaaS) applications, or use by multiple users within a single organization.
    • Restrictions: Specific restrictions will be detailed on the product page. Generally, direct redistribution or reselling of the Digital Asset in its original form (e.g., selling a UI Kit as a UI Kit) is still prohibited unless explicitly allowed under the specific Extended License terms.

4.3. General License Restrictions for All Licenses:

  • You may not sublicense, resell, share, transfer, or otherwise distribute the Digital Asset on its own, for free or for charge.
  • You may not claim ownership of the Digital Asset.
  • You may not use the Digital Asset in a manner that is unlawful, harmful, abusive, ethnically offensive, defamatory, or in connection with pornography or hate speech.
  • You may not use the Digital Asset in a way that implies endorsement by the original creator or Aingweuy without explicit written consent.

5. Purchases and Payments

5.1. Pricing: All prices for Digital Assets are listed in the currency specified on the Platform and are subject to change without prior notice.

5.2. Payment Processing: Aingweuy utilizes Midtrans as its payment gateway to process all transactions. By purchasing Digital Assets on the Platform, you agree to comply with Midtrans' terms and conditions and privacy policy. Aingweuy does not store your full payment card details.

5.3. Taxes: You are responsible for any applicable taxes, duties, or fees imposed by your jurisdiction in connection with your purchase of Digital Assets.

5.4. Order Confirmation: Upon successful completion of your payment, you will receive an order confirmation via email and access to download your purchased Digital Assets through your Account.

6. Intellectual Property Rights

6.1. Aingweuy Content: All Content on the Platform, including text, graphics, logos, images, software, and the compilation thereof, is the property of Aingweuy or its suppliers and protected by copyright and other intellectual property laws.

6.2. Digital Asset Ownership: The Seller retains all intellectual property rights, including copyright, in and to the Digital Assets, except for the limited license rights granted to you upon purchase.

6.3. Copyright Infringement (DMCA Policy): Aingweuy respects the intellectual property rights of others. If you believe that your copyright-protected work has been copied in a way that constitutes copyright infringement and is accessible on Aingweuy, please notify us with the following information: * An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest. * A description of the copyrighted work that you claim has been infringed. * A description of where the material that you claim is infringing is located on the Platform. * Your address, telephone number, and email address. * A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law. * A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

7. Refunds and Cancellations

7.1. General Policy: Due to the digital nature of our products and the immediate access provided upon purchase, all sales are generally final, and refunds are not typically offered. Once a Digital Asset has been downloaded or accessed, it cannot be returned.

7.2. Exceptions: Aingweuy may consider refunds or exchanges in the following limited circumstances: * Major Defect: If the Digital Asset is materially defective, corrupted, or not as described on the product page, and the Seller or Aingweuy is unable to provide a functional replacement. * Non-Delivery: If you did not receive access to the purchased Digital Asset after successful payment. * Misrepresentation: If the Digital Asset was demonstrably misrepresented in its description or preview on the Platform.

7.3. Refund Request Process: To request a refund based on an exception, you must contact Aingweuy's customer support within 7 days of the purchase date, providing your order number and a detailed explanation of the issue, including any relevant screenshots or evidence. Aingweuy will investigate the claim and make a decision at its sole discretion.

8. Disclaimers and Limitation of Liability

8.1. "As Is" Basis: THE PLATFORM AND ALL DIGITAL ASSETS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. AINGWEUY DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

8.2. Digital Asset Suitability: Aingweuy does not guarantee the suitability, compatibility, or performance of any Digital Asset for your specific needs or intended use. You assume all risks associated with the download and use of any Digital Asset.

8.3. Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AINGWEUY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM OR DIGITAL ASSETS; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM; (III) ANY CONTENT OBTAINED FROM THE PLATFORM; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

9. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

  • Using the Platform for any unlawful purpose or in violation of any international, national, or local laws.
  • Impersonating any person or entity or falsely stating or otherwise misrepresenting your affiliation with a person or entity.
  • Interfering with or disrupting the integrity or performance of the Platform or the data contained therein.
  • Attempting to gain unauthorized access to the Platform, accounts, or computer systems connected to Aingweuy.
  • Uploading or distributing any malicious code, viruses, or other harmful technologies.
  • Collecting or harvesting any personally identifiable information from the Platform.
  • Engaging in any activity that could damage, disable, overburden, or impair any Aingweuy server, or the networks connected to any Aingweuy server.
  • Using automated means, including spiders, robots, crawlers, data mining tools, or the like to download data from the Platform, unless expressly permitted by Aingweuy.

10. Indemnification

You agree to indemnify, defend, and hold harmless Aingweuy, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from your (or anyone using your Account's) violation of these Terms or your use of the Platform or any Digital Asset.

11. Termination

11.1. By You: You may stop using the Platform at any time. You can delete your Account by contacting our customer support.

11.2. By Aingweuy: Aingweuy may terminate or suspend your Account and access to the Platform immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

11.3. Effect of Termination: Upon termination, your right to use the Platform will immediately cease. Sections 2 (Definitions), 4 (Digital Assets and Licensing - restrictions survive), 6 (Intellectual Property Rights), 8 (Disclaimers and Limitation of Liability), 10 (Indemnification), 11 (Termination), 12 (Governing Law and Dispute Resolution), and 13 (General Provisions) shall survive any termination of these Terms.

12. Governing Law and Dispute Resolution

12.1. Governing Law: These Terms shall be governed by and construed in accordance with the laws of Indonesia, without regard to its conflict of law principles.

12.2. Dispute Resolution: * Amicable Resolution: In the event of any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Platform, you and Aingweuy agree to first attempt to resolve the matter informally through good faith negotiations. * Jurisdiction: If an amicable resolution cannot be reached within a reasonable time, any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Indonesia. You consent to the personal jurisdiction of such courts.

13. General Provisions

13.1. Severability: If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

13.2. Waiver: No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Aingweuy's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

13.3. Entire Agreement: These Terms, together with our Privacy Policy and any other legal notices published by Aingweuy on the Platform, constitute the entire agreement between you and Aingweuy concerning your use of the Platform.

13.4. Force Majeure: Aingweuy shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond Aingweuy's reasonable control, including, without limitation, mechanical, electronic, or communications failure or degradation.

14. Changes to Terms

Aingweuy reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Platform after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Platform.
