License Agreement

This License Agreement ("Agreement") is entered into between you, the end-user ("Licensee" or "You"), and Aingweuy ("Licensor," "Platform," "We," "Us"), concerning the licensing of digital assets ("Digital Assets") available for purchase and download through the Aingweuy marketplace.

By purchasing, downloading, or using any Digital Asset from Aingweuy, You acknowledge that You have read, understood, and agree to be bound by the terms and conditions of this Agreement. If You do not agree to these terms, do not purchase, download, or use any Digital Asset.

1. Definitions

  • "Aingweuy": Refers to the digital marketplace platform operated by the Licensor, where Digital Assets are offered for sale and licensing.
  • "Digital Asset(s)": Refers to all digital products, files, content, and materials available on Aingweuy, including but not limited to UI Kits, website templates, presentation templates, fonts, icons, graphics, code snippets, and any accompanying documentation.
  • "License": The non-exclusive, non-transferable, revocable permission granted by Aingweuy to You to use a Digital Asset subject to the terms of this Agreement and the specific license type purchased.
  • "Licensee" or "You": The individual or entity who purchases and downloads a Digital Asset from Aingweuy.
  • "Licensor" or "We": Refers to Aingweuy, the operator of the platform facilitating the licensing of Digital Assets.
  • "Project": A single end-product or client work created using a Digital Asset.
  • "Permitted Use": The specific ways a Digital Asset may be used as defined by the purchased license type.
  • "Prohibited Use": Any use of a Digital Asset not expressly permitted or explicitly forbidden by this Agreement.
  • "Vendor/Creator": The third-party individual or entity who created and uploaded the Digital Asset to Aingweuy. Aingweuy acts as a marketplace and facilitator for these Vendors/Creators.

2. Grant of License

Upon successful payment for a Digital Asset, Aingweuy grants You a non-exclusive, non-transferable, worldwide, and revocable license to use the Digital Asset, solely in accordance with the terms of this Agreement and the specific license type You have purchased (Personal, Commercial, or Extended). All rights not expressly granted to You by this License are reserved by Aingweuy and/or the respective Vendor/Creator.

3. License Types and Permitted Uses

Aingweuy offers three primary license types, each with specific permitted uses and limitations. It is Your responsibility to choose the appropriate license for Your intended use.

3.1. Personal License

  • Permitted Use:

    • Personal Projects Only: Use in a single, non-commercial end-product or project. This includes personal websites, portfolios, mockups for personal learning, or internal company projects not intended for external distribution or monetization.
    • Internal Use: May be used for internal testing or development purposes within an organization, provided it does not lead to a publicly distributed commercial product.
    • Attribution: While not always strictly required, attribution to the Vendor/Creator and/or Aingweuy is appreciated.

  • Prohibited Use (in addition to general prohibitions):

    • Any commercial use, distribution, or monetization.
    • Creating multiple end-products.
    • Using for client work.

3.2. Commercial License

  • Permitted Use:

    • Single Commercial Project: Use in a single, commercial end-product or client project for You or a single client. This includes commercial websites, applications, software, presentations, or print materials where the Digital Asset is incorporated as a component.
    • End Product Distribution: The end-product (e.g., a website, app, or template that you build from the UI kit) may be distributed, sold, or used for commercial purposes, provided the Digital Asset itself is not distributed or accessible as a standalone item.
    • Modifications: You may modify the Digital Asset to suit Your project needs.

  • Limitations:

    • No Resale of Source Files: The Digital Asset itself (or any substantial part of it) cannot be resold, sublicensed, shared, or distributed as a standalone file or as part of a template or theme where the Digital Asset is the primary value.
    • Limited Audience: Typically suitable for end-products sold to a limited audience or for single-client deliverables.
    • No Merchandise/Mass Production: Not permitted for use in physical or digital merchandise intended for mass production or resale (e.g., t-shirts, mugs, stock photos).

3.3. Extended Commercial License

  • Permitted Use:

    • Multiple Commercial Projects: Use in an unlimited number of commercial end-products or client projects.
    • Resale of End Product: The end-product (e.g., a website theme, app template, or software) built using the Digital Asset can be sold or distributed to multiple users.
    • Merchandise/Physical Products: May be used for creating physical or digital merchandise for resale, provided the Digital Asset is integrated into a larger design and not the sole value. Examples include print-on-demand products, apparel, or other physical goods.
    • Broader Distribution: Suitable for widespread distribution, including use in SaaS platforms, online generators, or products with a large user base.
    • Modifications: You may modify the Digital Asset to suit Your project needs.

  • Limitations:

    • Still No Direct Resale of Source Files: While the end-product can be resold, the Digital Asset's source files, components, or elements cannot be distributed, sublicensed, or made available for download in a way that allows others to extract or use the original Digital Asset independently.
    • No Competing Marketplaces: Cannot be used to create products for direct competition with Aingweuy or the original Vendor/Creator's offerings (e.g., creating another UI kit marketplace).

4. General Restrictions on Use (Prohibited Uses for All Licenses)

Regardless of the license type purchased, You MAY NOT:

  1. Sublicense, resell, share, transfer, distribute, or otherwise make the Digital Asset available to any third party, either in whole or in part, as a standalone file or as part of a template, theme, or other product where the Digital Asset is the primary value, except as explicitly permitted by an Extended Commercial License for an end-product.
  2. Claim ownership or authorship of the Digital Asset, even if modified. The copyright and intellectual property rights remain with Aingweuy and/or its Vendors/Creators.
  3. Use the Digital Asset in a manner that is competitive with Aingweuy or the original Vendor/Creator. This includes creating a digital marketplace or asset library that resells or licenses Digital Assets.
  4. Extract individual components or elements of the Digital Asset for use outside of the Project for which it was licensed, unless otherwise specified.
  5. Use the Digital Asset in any way that is unlawful, harmful, abusive, ethnically offensive, libelous, defamatory, obscene, pornographic, or sexually explicit, or promotes violence, discrimination, or illegal activities.
  6. Use the Digital Asset to create logos or trademarks where the Digital Asset itself forms a prominent or unique part of the logo/trademark, as this would imply exclusive ownership.
  7. Register any Digital Asset as a trademark or copyright, or otherwise claim proprietary rights over the Digital Asset itself.
  8. Use the Digital Asset on more than one Project or for more than one client unless an Extended Commercial License is purchased.
  9. Embed or include the Digital Asset in an "on-demand" product platform where the Digital Asset is directly supplied to multiple end-users (e.g., print-on-demand services, unless covered by an Extended Commercial License with specific permission for such use).

5. Payment, Delivery, and Refunds

  1. Payment Processing: All payments for Digital Assets on Aingweuy are processed securely through Midtrans. By initiating a purchase, You agree to Midtrans' terms and conditions and privacy policy.
  2. Delivery: Upon successful payment, the purchased Digital Asset(s) will be made available for immediate download through Your Aingweuy account or via a secure download link provided.
  3. Refunds: Due to the nature of digital goods, all sales are generally final and non-refundable once the Digital Asset has been downloaded. Refunds will only be considered in exceptional circumstances, such as:
    • The Digital Asset is proven to be severely defective and Aingweuy and/or the Vendor/Creator cannot provide a fix within a reasonable timeframe.
    • The Digital Asset was misrepresented in its description or preview.
    • An accidental duplicate purchase was made (proof required).
    • Requests for refunds must be made within a reasonable period (e.g., 7 days) of purchase and will be assessed on a case-by-case basis by Aingweuy.

6. Intellectual Property Rights

  1. Ownership: All intellectual property rights, including copyrights, trademarks, and design rights, in and to the Digital Assets remain the sole property of Aingweuy and/or its Vendors/Creators. This Agreement grants You only a limited license to use the Digital Assets, not ownership.
  2. No Transfer of Rights: This Agreement does not transfer any rights of ownership or intellectual property to You. You acknowledge that Aingweuy and/or its Vendors/Creators retain all title and ownership of the Digital Assets.

7. Warranties and Disclaimers

  1. "As Is" Basis: All Digital Assets are provided "as is," "as available," and "with all faults." Aingweuy makes no representations or warranties of any kind, express or implied, regarding the Digital Assets, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, or freedom from errors.
  2. No Guarantees: Aingweuy does not warrant that the Digital Assets will meet Your specific requirements, operate without interruption, or be error-free. You bear the entire risk as to the quality and performance of the Digital Assets.
  3. Third-Party Content: Aingweuy acts as a marketplace. While we strive to ensure the quality and legality of Digital Assets, we do not guarantee the accuracy, completeness, or legal compliance of Digital Assets provided by third-party Vendors/Creators.

8. Limitation of Liability

In no event shall Aingweuy, its affiliates, directors, employees, agents, or Vendors/Creators be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) Your access to or use of or inability to access or use the Digital Assets; (ii) any conduct or content of any third party on the Platform; (iii) any content obtained from the Platform; and (iv) unauthorized access, use or alteration of Your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Our total liability to You for any claims arising out of or relating to this Agreement or Your use of the Digital Assets, regardless of the form of action, shall not exceed the amount You paid for the specific Digital Asset giving rise to the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Aingweuy, its affiliates, officers, directors, employees, agents, and Vendors/Creators from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from Your breach of this Agreement, Your misuse of the Digital Assets, or Your violation of any law or the rights of a third party.

10. Term and Termination

  1. Term: This Agreement is effective from the date of Your first download or purchase of a Digital Asset and continues indefinitely unless terminated in accordance with this section.
  2. Termination by Aingweuy: Aingweuy reserves the right to terminate this License at any time, with or without notice, if You breach any of the terms of this Agreement.
  3. Effect of Termination: Upon termination, You must immediately cease all use of the Digital Asset, delete all copies of the Digital Asset from Your systems, and destroy any physical copies. No refunds will be issued for licenses terminated due to Your breach of this Agreement.
  4. Survival: Sections 1, 4, 6, 7, 8, 9, 10, 11, and 12 shall survive any termination of this Agreement.

11. Governing Law and Dispute Resolution

  1. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Indonesia, without regard to its conflict of law principles.
  2. Dispute Resolution: Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof, shall be resolved through good faith negotiation. If the parties are unable to resolve the dispute through negotiation, they agree to submit the dispute to the exclusive jurisdiction of the courts located in Jakarta, Indonesia.

12. Miscellaneous Provisions

  1. Entire Agreement: This Agreement constitutes the entire agreement between You and Aingweuy regarding the licensing of Digital Assets and supersedes all prior or contemporaneous understandings, agreements, communications, and proposals, whether oral or written.
  2. Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
  3. Waiver: The failure of Aingweuy to enforce any right or provision of this Agreement will not be deemed a waiver of such right or provision.
  4. Assignment: You may not assign or transfer Your rights or obligations under this Agreement without the prior written consent of Aingweuy. Aingweuy may assign or transfer its rights and obligations under this Agreement without restriction.
  5. Changes to Agreement: Aingweuy reserves the right to modify this Agreement at any time. Any changes will be posted on the Platform, and Your continued use of the Digital Assets after such modifications constitutes Your acceptance of the updated terms.

By purchasing, downloading, or using any Digital Asset from Aingweuy, You signify Your acceptance of this License Agreement.
